Hail Dent Repair Pty Ltd — Independent Contractor Terms and Conditions

1. Engagement

You (“Contractor”, “Technician”) are engaged by Hail Dent Repair Pty Ltd (“Hail Dent Repair”, “the Company”) as an independent contractor, not an employee. Nothing in these terms creates an employment, partnership, joint venture, or agency relationship between you and Hail Dent Repair.

Hail Dent Repair operates as a referral and booking platform. Hail Dent Repair sources, qualifies, and dispatches PDR job opportunities to you. You are free to accept or decline any job offered.

2. Contractor Obligations

You are solely responsible for the quality, standard, and outcome of all repair work you perform. You warrant that you possess the necessary skills, qualifications, experience, tools, and insurance to perform PDR services to a professional standard.

You agree to carry and maintain at all times: public liability insurance of not less than $10,000,000; professional indemnity insurance appropriate to your trade; workers’ compensation insurance (or personal accident cover if a sole trader); and motor vehicle insurance covering your tools and travel to job sites.

You must hold a valid Australian Business Number (ABN) and comply with all tax obligations including GST registration if required. You must comply with all applicable Australian laws, regulations, and industry standards, including workplace health and safety legislation.

3. Workmanship and Liability

You accept full responsibility for all workmanship performed under jobs dispatched through the Hail Dent Repair platform. Hail Dent Repair does not supervise, direct, or control how you perform the work.

You indemnify and hold harmless Hail Dent Repair, its directors, officers, and employees from and against any and all claims, demands, actions, damages, losses, costs, and expenses (including legal costs on a full indemnity basis) arising from or in connection with: your workmanship or the quality of repair work you perform; any damage to a customer’s vehicle or property caused by you; any personal injury caused by your acts or omissions; any breach of these terms by you; any claim by a third party arising from your performance of the work.

You must handle all customer complaints regarding workmanship directly and at your own expense. Hail Dent Repair is not liable for any deficiency in your work.

4. Payment and Service Fee

Hail Dent Repair collects payment from customers on your behalf via the Hail Dent Repair payment platform.

Hail Dent Repair deducts a service fee (“Platform Fee”) from each completed and paid job. The default Platform Fee is $50 per job, but may be varied by agreement between you and Hail Dent Repair. The Platform Fee covers lead generation, customer acquisition, booking management, dispatch, and payment processing.

The remaining balance after deduction of the Platform Fee (“Contractor Payment”) will be remitted to you within 7 business days of the customer’s payment being received and cleared.

You are responsible for all your own tax obligations. Hail Dent Repair will issue you with a Recipient Created Tax Invoice (RCTI) or payment summary as required.

5. Conduct and Standards

You must present yourself professionally at all times when attending jobs sourced through Hail Dent Repair. You must not solicit customers directly for future work that bypasses the Hail Dent Repair platform for a period of 12 months from the date of the last job performed for that customer. You must not disparage Hail Dent Repair, its directors, employees, or other contractors.

6. Termination

Either party may terminate this arrangement at any time by providing 7 days’ written notice. Hail Dent Repair may terminate immediately if you breach any material term, fail to maintain required insurance, engage in misconduct, or receive repeated customer complaints. Upon termination, you must complete all accepted jobs in progress and Hail Dent Repair will remit any outstanding Contractor Payments.

7. Intellectual Property and Confidentiality

All customer data, pricing information, and business processes accessible through the Hail Dent Repair platform are confidential and remain the property of Hail Dent Repair. You must not use customer data obtained through the platform for any purpose other than performing the assigned job.

8. Governing Law

These terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.

9. Entire Agreement

These terms constitute the entire agreement between you and Hail Dent Repair regarding your engagement as an independent contractor. Hail Dent Repair may amend these terms by providing 14 days’ written notice. Continued use of the platform after such notice constitutes acceptance.
